NetbaIoT Commercial Software License

中文

Version 1.0 — 2026-10-27

Commercial licensor: Guangzhou Xiaoai Technology Co., Ltd. (GZITECH) Commercial contact: [email protected]

1. Scope and parties

This license applies only to NetbaIoT source code, binaries, documentation and other original material that the relevant copyright holder owns or is authorized to license (the “Software”). It does not relicense third-party components. “Licensor” means Guangzhou Xiaoai Technology Co., Ltd. (GZITECH), acting only within rights it owns or is authorized to license. An applicable written commercial order or agreement is an “Order”. “You” means the individual or organization receiving the grant. Copyright holders retain their ownership; naming a commercial licensor does not assert a copyright assignment. Commercial notices and inquiries may be addressed to [email protected]. An authorized reseller must identify its legal capacity and the scope of its authorization in the Order.

2. Limited evaluation

Subject to this license and rights Licensor can grant, You may inspect, copy, build, run and modify the Software internally for non-production evaluation for 30 consecutive days after Your first receipt of a copy bearing this license. Copies must retain applicable copyright and license notices. Contractors may assist solely on Your behalf under confidentiality and use restrictions at least as protective as these terms, with You responsible for their compliance. Reinstalling, cloning or changing a technical license record does not restart the evaluation period. This grant does not permit production use, public hosting, redistribution or supplying the gateway to third parties. A different evaluation scope or term must be agreed in writing. No fee is required for this narrow grant.

3. Commercial rights

Production use, hosted/customer-facing services and other commercial deployment require an Order issued by Licensor or an authorized reseller. Subject to payment and the Order’s terms, Licensor grants a non-exclusive right to install, run, make necessary internal copies, configure, integrate and internally modify the specified Software for the deployments and purposes identified in the Order. The Order specifies the licensed release or commit, licensee, permitted affiliates, deployment scope, term (including any perpetual grant), fees and any additional rights. No device, connection, throughput or node allowance is invented by this license; any contractual limits must be expressly agreed in the Order.

An Order permitting application integration may include the supplied client or device SDK components in Your applications solely to interoperate with the licensed deployment, subject to the Order and retained third-party notices. Reselling, sublicensing or distributing the gateway itself, OEM/embedded delivery, white-label supply or granting third parties independent gateway deployment rights requires an express distribution/OEM grant. Customer access to an authorized hosted service is not itself gateway redistribution.

4. Reserved rights and restrictions

Except as expressly granted, You may not publish or redistribute the Software or its derivative source/binaries, sublicense independent rights, or provide access outside the permitted scope. Do not remove required copyright, attribution or license notices or misrepresent authorship or official endorsement. No trademark right is granted beyond accurate identification and descriptive references. Mandatory statutory rights and permissions independently granted for third-party components are not restricted by this clause. Licensor retains rights not granted. Your own business data, device payloads, configuration, independent applications and independently implemented standard MQTT/TCP/UDP clients do not become Licensor’s property merely by interoperating with the Software.

5. Technical license diagnostics and service continuity

Any signed license file, status endpoint, expiry warning or metric is a technical record. It does not replace an Order, prove domain/IP ownership or independently grant rights beyond this license or the Order. A status or clock change does not by itself amend or terminate a written grant. The applicable legal term and renewal obligations are determined by the Order, not by a software status string alone. License expiry, absence, invalid signatures or subject mismatch do not trigger automatic service shutdown, connection rejection, message/command denial, resource limit changes or loss of required-ACK drain behavior. Contractual remedies are handled outside those runtime paths. No cloud activation or kill switch is granted or required by these terms.

6. Support, changes and termination

Support, updates, maintenance, availability commitments, warranty remedies and service levels are provided only if expressly agreed in an Order. A right to a particular release does not automatically include future releases. Changes to posted terms do not retroactively change a separately executed Order or rights already granted for a copy under its applicable terms. Unless an Order provides otherwise, a material breach of these terms terminates the affected grant only if it remains uncured 30 days after written notice identifying the breach and required cure. At a grant’s agreed expiry or lawful termination, cease uses no longer authorized and return or delete affected copies, except copies retained under law or independently continuing rights. This is a legal obligation, not permission for the Software to interrupt accepted work. Third-party rights and historical open-source grants survive according to their own terms. Sections concerning ownership, preserved rights, notices, disclaimers and applicable liability limits survive as necessary to give them effect.

7. Third-party components and historical grants

Third-party components are licensed separately by their respective rights holders. Their license texts, attribution, patent grants and any applicable source-availability obligations remain effective. Where these terms conflict with a third-party license as to that component, its license controls for that component. No rights that Licensor does not own or hold may be granted by this document. Copies previously lawfully distributed under AGPL-3.0-or-later or another license retain their original rights, subject to that license. This document neither revokes those grants nor imposes new commercial fees on exercising them. Existing AGPL copies and lawful forks may continue to be used, modified and distributed, including commercially, under their applicable terms. This license applies to copies offered under it; it does not rewrite source history or signed agreements.

8. Warranty and liability

EXCEPT AS EXPRESSLY AGREED IN AN ORDER AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED OPERATION OR ERROR-FREE PERFORMANCE. YOU ARE RESPONSIBLE FOR DEPLOYMENT, SECURITY, BACKUPS IN YOUR BUSINESS SYSTEMS AND EVALUATING SUITABILITY FOR YOUR USE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSS, INCLUDING LOST PROFITS OR LOST DATA. UNLESS AN ORDER PROVIDES OTHERWISE, LICENSOR’S AGGREGATE LIABILITY FOR THE AFFECTED SOFTWARE IS LIMITED TO FEES YOU PAID FOR IT IN THE TWELVE MONTHS PRECEDING THE CLAIM. NO EXCLUSION OR LIMIT APPLIES WHERE PROHIBITED BY MANDATORY LAW.

9. Orders, law and language

An Order expressly agreed by authorized parties prevails over inconsistent default provisions of this license within the rights Licensor can grant. It must identify the parties, notice contacts, licensed scope and term; commercial price, support, governing law and dispute forum must be expressly agreed where applicable. This repository does not select a court or pretend an unsigned template is a completed commercial contract. Without an agreed choice, applicable conflict-of-law and mandatory legal rules determine the governing law and forum. If a provision is unenforceable, the remaining provisions apply to the extent legally possible. The English text controls unless an Order expressly adopts another language.
